Article I: Name

The name of the organization shall be The Alabama Boys Foundation (the “Foundation”).

Article II: Purpose

The Foundation is organized as a nonprofit corporation under the laws of the State of Alabama and shall operate exclusively for charitable, educational, and community purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code.

The primary purpose of the Foundation is to support mental health for K-8 children in the community by providing tools and resources that build resilience, teach coping mechanisms, and address the challenges young people face in underserved communities.

Article III: Mission and Vision

The Foundation’s mission is to:

Article VI: Membership and Governance

1. Members:

2. Board of Directors:

  • The number of Directors and their terms of service shall be defined in the bylaws.

3. Officers:

  • Officers, elected by the Board, will manage day-to-day operations and ensure the execution of the Foundation’s activities.

Article VII: Location

The principal office of the Foundation shall be located in Montgomery, Alabama. The Foundation may establish additional offices as needed.

Article VIII: Tax-Exempt Status

The Foundation is organized and operated exclusively for charitable purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code.

1. No Private Inurement:

No part of the net earnings of the Foundation shall inure to the benefit of, or be distributable to, its members, trustees, officers, or other private persons, except for reasonable compensation for services rendered.

2. Political Activities:

The Foundation shall not participate in or intervene in any political campaign on behalf of or in opposition to any candidate for public office.

3. Dissolution:

Upon dissolution, any remaining assets shall be distributed to a nonprofit organization with a similar mission and exempt under Section 501(c)(3).

Article IX: Amendments

These Articles of Incorporation may be amended by a majority vote of the Board of Directors, provided that such amendments do not conflict with the Foundation’s tax-exempt status under Section 501(c)(3).
